e-Notarization and What This Means for Business Owners

For business owners, notarizing documents can be one of those routine tasks that takes more time than expected. Contracts, affidavits, board resolutions, lease agreements, and other legal documents may require a trip to the notary, which can be especially inconvenient when the people involved are in different cities or provinces. Yet, the Supreme Court’s recent rollout of e-Notarization could make this part simpler.

Defining e-Notarization

Under the 2025 Rules on Electronic Notarization, qualified electronic documents in PDF or PDF/A format can be notarized through accredited Electronic Notary Publics (ENPs). Unlike traditional notarization, which generally limits notaries to their territorial jurisdiction, accredited ENPs can provide services to principals anywhere in the Philippines.

Signatories can also appear before the ENP physically, remotely through videoconferencing, or both. This means businesses may have more flexibility when coordinating documents that involve people in different locations.

Why It Matters

With e-Notarization, its biggest potential benefit is not simply convenience but the time and effort saved.

Specifically for small and medium-sized enterprises (SMEs) without dedicated legal or administrative teams, a simple notarization appointment can mean taking time away from actually running the business. Imagine that when these trips involve multiple documents or happen regularly, those hours can add up.

Similarly, businesses with branches, suppliers, partners, or clients spread across the country may also benefit from this. Instead of arranging physical meetings solely for notarization, parties may be able to complete the process remotely, provided they meet the requirements laid out.

One Less Administrative Hurdle

That being said, e-Notarization does not eliminate the other items businesses have to deal with, such as permits, licenses, taxes, and regulatory compliance. Rather, it addresses one small but recurring part of the paperwork involved in running a company.

It may sound like a minor change, but reducing friction in everyday transactions can accumulate over time. The less time spent travelling and coordinating paperwork, the more time for business owners and employees to focus on their actual operations.

The success of the e-Notarization system will ultimately depend on the availability of accredited ENPs and how widely businesses adopt it. Still, the initiative represents another step toward making routine government and legal services more accessible in today’s digital-first economy.
